Hong Kong Amends Companies Ordinance
The Hong Kong Companies (Amendment) Ordinance
2003 came into effect on February 13, 2004.
The amendment updates requirements for directors
and facilitates electronic processing at
the Companies Registry in anticipation of
the introduction of the Integrated Companies
Registry Information System (ICRIS).
- A private company may now have only
one director and one shareholder.
- A sole director of a private company
may not be the secretary of that company.
- A corporate entity cannot serve as secretary
if the sole director is the only director
of the corporate entity.
