Georgia
SB 469, approved by the House and sent to the governor on April
3, would update provisions to provide confirmation when an order
for relief, with respect to a corporation, has been entered under
the federal bankruptcy code.

Maine
HB 1314 (LD 1874), signed by the governor on April 4 and enacted
as Public Law No. 529, makes changes to filing fees for amended
annual reports and corrects the time period that an entity has to
replace its registered agent upon resignation from 30 days to 60
days.

SB 591a (LD 1609), signed by the governor on April
6 and enacted as Public Law No. 543, repealed the Uniform Partnership
Act and replaced it with the Revised Uniform Partnership Act of
1997.

Mississippi
The Mississippi Secretary of State Business Services Division said
in April the reminders would be mailed reminders to the registered
agent for corporations to file the annual report by June 1. Online

New York
Senate Bill 6831, which went through three readings as of March
28, 2006, would amend Chapter 767 of the Laws of 2005 that becomes
effective June 1, 2006, and requires publication by business entities
for four-consecutive weeks of certain information including the
names of the ten persons who are engaged in the business and are
members or partners with the most valuable ownership interests.
SB 6831 would require publication for six-consecutive weeks; eliminate
listing of owners’ names; require business entities to comply
within 120 days; and provide that failure to comply shall cause
joint and several liability of the owners. SB 6831 may be accessed

Wisconsin
Senate Bill 496, effective March 25, 2006, as 2005 Act 132, allows
LLCs to reinstate without a 30-day time limit after administrative
dissolution. According to the Wisconsin Department of Financial
Institutions (DFI), there are 139,125 LLCs on file at the DFI compared
to 128,500 corporations on record at the DFI. Also, five LLCs were
formed in Wisconsin for every corporation formed in 2006. Senate

Motor Vehicle Updates
New Mexico
1. The state of New Mexico requires proof of residency (in-state
address). The following are acceptable documents to prove the residence
address:
• New Mexico driver’s license
• Utility bill (e.g., water, gas, electric, waste, or telephone)
2. A clear copy of emissions certificate in Bernalillo County is
required for vehicles equal to or less than 10,000 gross vehicle
weight. Gas vehicles are required to pass three test components:
• Pollution control equipment (i.e., catalytic converter)
• Exhaust gas analysis
• Visible emissions or smoke
Tennessee
Residents of Davison, Hamilton, Rutherford, Sumner, Williamson,
and Wilson counties and Memphis city residents must have their vehicles
pass an emissions inspection prior to registration or registration
renewal. An emission is not required for vehicles of model year
1974 and older with the exception of Memphis where all model years
are included.
