California
Senate Bill 1183 (Chapter No. 57), signed by the governor on July 7th, 2006, provides that a foreign corporation is not transacting intrastate business solely due to its status as a shareholder, limited partner or member or manager of a domestic or foreign business entity transacting business in California.

Delaware
Senate Bill 322, amending the General Corporation Law, was signed by the governor on June 27th, 2006 (see summary of bill's provisions elsewhere in CSC Flash). House Bill 414 amending the LLC Act was signed by the governor on June 28th, 2006. House Bills 415 (Revised Uniform Limited Partnership Act), 424 (Revised Uniform Partnership Act) and 445 (Statutory Trust Act) were signed by the governor on July 10th, 2006. Indiana
House Bill 1306, effective on July 1, 2006, requires foreign-qualified entities to obtain an amended certificate of authority when converting to different entity type in jurisdiction of organization.

New Hampshire
Senate Bill 295 (Chapter 316), effective on July 1st, 2006, permits administratively dissolved LLCs to apply with a fee of $500.00 for hearing for reinstatement more than three years after dissolution.

Pennsylvania
House Bill 2425 (PN 3822), signed by governor on July 7th, 2006 (Act No. 2006-86), and effective in 60 days, provides requirements for valid recording and constructive notice of written agreements pertaining to real property.

Rhode Island
Senate Bill 2938 (Chapter 163), effective on June 23rd, 2006, requires certificate of good standing from Rhode Island division of taxation for reinstatement of revoked corporation. To access bill text, type in 2938 in Bill field at

Virginia
Senate Bill 477 (Chapter 748), effective on July 1st, 2006, changed the due date to October 1st from September 1st for domestic and foreign LLCs to pay annual registration fee of $50.00 and authorizes State Corporation Commission to issue certificate of organization and certificates of cancellation.

Senate Bill 547, effective on July 1st, 2006, permits domestication of LLCs.

International Jurisdictions

Territory of Guam

Annual reports must be filed between July 1st and September 1st, 2006 by domestic and foreign corporations qualified to transact business in the Territory of Guam, a U.S. possession. Filing fee is $100.00 and the late-filing penalty is $50.00. Government form can be accessed from IncSpot.

Province of Quebec, Canada
Incorporated companies (legal persons) registered with the Register of Enterprises must update the information on file by filing an Annual Declaration between May 15th, 2006 and September 15th, 2006.

In 2006, the Canadian government is permitting legal persons to combine the income-tax return and annual return by filing within six months of the tax-year end. Form LE-630 (Declaration of Information for the Register) should be included with the income-tax return. More information on the harmonization is available at

Motor Vehicle Updates

California
The fee for obtaining a duplicate title in the State of California has been increased to $16.00

Vermont
The Vermont Department of Motor Vehicles has increased the price of a driving record search to $10.00.

Virginia
All vehicles and trailers require an annual safety inspection once the unit is registered in the State of Virginia. Units must be inspected immediately; there is no grace period. The cost is $15.00.

The sticker expires the last day of the month, regardless of whether it is a weekday or weekend.
The sticker is valid for exactly one year.
