“The two volumes are updated twice a year, to ensure that our readers stay current with the Delaware courts,” explains Andrea Unterberger, Director of CSC® Publishing, which produces the book in collaboration with legal publishing giant LexisNexis. “We are careful to include all relevant case annotations, both from Delaware courts, and, in Volume 2, from courts around the country that have applied Delaware business entity law.” Useful features like the Table of New Annotations and the Table of Sections Affected let readers find the new material quickly and easily, she adds.
Another unique feature of the books are the blacklined amendments, which allow readers to quickly identify changes to the laws, Unterberger says, pointing out that readers should collect the book’s spring editions in order to have a seamless history of Delaware business entity law.
The book’s first section is also useful, providing the amounts payable by business entities under Delaware law. “Our readers have told us that having this information right at the front of the book has been a huge help,” Unterberger says.
Spring 2008 Updates
CSC Publishing has just released the Spring 2008 Edition of Delaware Laws Governing Business Entities. In this latest Edition, the Court of Chancery Rules have been updated, including a new provision providing for the filing of CD-ROM briefs. More than eighty new annotations to recent Delaware Chancery and Supreme Court opinions have also been added, as well as synopses of all amended statutes describing the changes made.
Volume 2 of the Spring 2008 Edition has been updated to include the most recent annotations of judicial decisions in all U.S. jurisdictions applying Delaware business entity law. This one-of-a-kind compilation enables attorneys to have a quick snapshot of how Delaware corporate law is being interpreted in courts around the country.
The full text of key Delaware opinions can also be found in Volume 2, including United Rentals, in which the Court of Chancery expounds on the principles of contract interpretation and contract writing; and Sample, which considers the application of Delaware’s long-arm statute to non-Delaware lawyers who offer advice to Delaware corporations.
The book’s tables reflect all the changes made, and the Amounts Payable section has been updated to provide the latest fees imposed on Delaware Entities.
Insightful Analyses
CSC Publishing’s Senior Legal Advisors Robert Symonds and Matthew O’Toole continue to contribute to the books with their take on changes occurring in Delaware law. “Messrs. Symonds and O’Toole are active members of the Delaware bar and have both played a role in crafting the state’s entity legislation,” Unterberger explains. “Their expertise helps readers better understand the impact of the changes occurring in Delaware’s entity law.”
In addition to providing their annual analyses, Messrs. Symonds and O’Toole, who recently joined the law firm of Stevens & Lee, are also exploring new ideas to provide readers with more helpful information, Unterberger says. “We always consider possible new features, and additional ways of delivering the information that could complement the books and website,” she says.
