Delaware Laws Governing Business Entities Keeps Attorneys Current with Important Changes to Delaware Law

CSC Media has released the Spring 2009 Edition of Delaware Laws Governing Business Entities. This two-volume set contains the statutory and case updates that legal professionals need in order to effectively counsel clients who do business in Delaware. The books also provide a host of valuable features that make the book the best Delaware law resource available, both in print and online.

“Attorneys need a resource they can rely on to provide them with the most up-to-date and comprehensive information on Delaware law,” says Andrea Unterberger, Director of CSC® Media, which produces the book in collaboration with legal publisher LexisNexis. “Delaware Laws Governing Business Entities is that resource. We publish twice a year to make sure users stay current, and we include many unique features designed to make research fast and effective.” Unterberger points out that the book can be accessed online as well as in print, which allows users to do research on their desktop, wherever they are.

The Spring 2009 edition contains all of the new and amended statutes from the 2008 Regular Session of the Delaware General Assembly, including changes to the Revised Uniform Limited Partnership Act, the LLC Act, and the General Corporation Law.

Users will also find 160 new case annotations from Delaware courts and from courts around the country that apply Delaware Corporate Law, as well as the full text of key Delaware opinions, including Ryan v. Lyondell Chemical Company, Olson v. Halvorsen, and Gantler v. Stephens.

“Our legal editors do the legwork to ensure that the books contain the most recent statutory and case information, and they choose the cases that are most relevant to practitioners working with Delaware law,” Unterberger explains.

A Full-Feature Resource

Delaware Laws Governing Business Entities has a number of unique features that help attorneys work smarter. For example, the Table of Sections Affected helps users quickly identify new statutory material, while blacklined amendments make it simple to track changes to the laws. “We tell our readers to collect the book’s spring editions in order to have a seamless history of Delaware business entity law that the blacklined amendments provide,” Unterberger says.

The book also has a Table of New Annotations that indicates new case annotations, and vertical gray bars inside the annotation sections make the new annotations easy to spot.

The book’s first section provides the amounts payable by business entities under Delaware law for quick reference. “Practitioners should pay close attention to this section since several of Delaware’s filing fees changed last year,” Unterberger notes.

Another valuable feature is the expert analyses provided by CSC® Media’s Senior Legal Advisors Robert Symonds and Matthew O’Toole. Messrs. Symonds and O’Toole, shareholders in the Delaware office of Stevens and Lee, are active members of the Delaware bar and have both played a role in crafting the state’s entity legislation. Mr. Symonds is one of the original drafters of the Delaware Limited Liability Company Act, and is a member of the Delaware State Bar Association’s committee charged with reviewing and proposing amendments to the Delaware Statutory Trust Act. Mr. O’Toole is a member of the Council of the Corporation Law Section of the Delaware State Bar Association, which monitors and proposes amendments to the General Corporation Law of the State of Delaware.

CSC’s Senior Legal Advisors Answer Business Entity Questions

In addition to providing legal analyses for the book, Messrs. Symonds and O’Toole can provide readers with further clarification on Delaware business entity questions. Readers can submit questions, and the responses will be sent to the reader and will also be posted on the Delaware Business Entity Website. Delaware Law Online

“More and more legal professionals are turning to web-based resources in an effort to save time and improve work efficiencies,” Unterberger says. “That’s why we developed The Delaware Business Entity Law website, to make research faster and easier.”

The website includes Volumes 1 and 2 in a fully searchable format, plus links to statutes, case annotations and opinions, as well as annotated forms for Delaware business transactions, sample bylaws and operating agreements. Website content is updated to reflect the changes published in the spring and fall editions of Delaware Laws Governing Business Entities.

With the site’s powerful tools, users can create electronic bookmarks and take notes anywhere on the site, and print, email and export search results. In addition, the site includes all of the features included in the printed version.

Because the website is browser-based, users can access it simply by logging on from any computer. “There is no need to install software or carry CD-ROMs around,” Unterberger explains. “It takes about two minutes to set up an account, and then you can get to work.”
