Georgia
HB 308 (Act No. 38) signed by governor April 21 and effective July 1, 2009 amends the Limited Liability Company Act to make certain provisions consistent with Business Corporations Code; clarifies the provisions governing the operating agreement of a LLC and its binding effect; provides for automatic resignation of a registered agent following the dissolution of a LLC; and limits the rights of judgment creditors to interfere with management or force the dissolution of a LLC.

Senate Bill 626 (Chapter 295) cross filed with HB 378 (Chapter 296) signed by the governor May 7 and effective October 1, 2009 repeals the requirement for corporations to maintain the original or certified copy of bylaws at the corporation’s principal office.
