CSC® Media, in collaboration with LexisNexis® Matthew Bender®, is pleased to announce the July release of The 2009 Edition of Delaware Laws Governing Business Entities, Volumes 1 and 2. This edition has been updated through the 2009 Regular Session of the Delaware General Assembly, and incorporates more than 60 amendments to statutes and rules in key areas of Delaware law governing corporations, limited liability companies, and partnerships, among them tax and fee increases payable by business entities under Delaware law.

Highlights of the 2009 Session included changes to the General Corporation Law, including new provisions governing access to proxy solicitation materials and proxy expense reimbursement, expansion of options for resolving business disputes in the Court of Chancery, and amendments to alternative entity statutes, including new provisions to address the doctrine of independent legal significance.

The books contain over 100 new case annotations from Delaware state courts and from courts in other jurisdictions that apply Delaware business entity law as well as five new full text cases, including Berger, which examines short form mergers and remedies for minority shareholders, and Lyondell, the Delaware Supreme Court’s ruling on appeal reversing the Chancery Court’s decision regarding the duty of loyalty and good faith on the part of independent directors. There are also in-depth legal analyses written by CSC’s Senior Legal Advisors, Delaware attorneys Matthew O’Toole and Robert Symonds, which explore the impact of the legislation coming out of the 2009 Session.

Virginia Laws Governing Business Entities

Another recent release is the 2009 Edition of Virginia Laws Governing Business Entities. This Edition features over 50 business entity sections affected by the 2009 Regular Session of the Virginia General Assembly, including extensive changes to the Limited Liability Company Act concerning distributions, disassociation of members, and claims against a dissolved LLC; clarification of the indemnification protections for directors and officers of stock and nonstock corporations; and conformance of the provisions of the Stock and Nonstock Corporation Acts to other business entity forms. The companion CD-ROM contains almost 100 Virginia forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types.
