New York Laws Governing Business Entities, Fall 2009

Volumes 1 and 2 of the Fall 2009 Edition of New York Laws Governing Business Entities contains the latest legislative changes through Chapter 347 of the 2009 Session. Highlights include new legislation that requires the city of New York’s finance commissioner to consent to non-judicial dissolutions under the Business Corporation Law and the Not-For-Profit Corporation Law for corporations that owe taxes to the city.

There are more than 50 new case annotations and the full text of five new cases exploring recent and significant judicial developments, including Bear Pond Trail (sale of substantially all assets under BCL § 909), McDaniel (dissolution of a residential co-operative corporation under BCL § 1104-a), and Wandel (shareholder derivative action concerning backdating of stock options). The judicial and legislative analysis written by Professor J. Kirkland Grant has also been updated.

New Jersey Laws Governing Business Entities

The 2009 Edition of New Jersey Laws Governing Business Entities features the latest legislative changes through the Second Annual Session of the 213th Legislature. Highlights of the Session include:

  • Changes to the written notice requirements for the resignation by a director.
  • Addition of the ability to vary the majority voting requirement for director elections in by-laws.
  • Amendments to the rules of court and to the taxation provisions.

The 2009 Edition also contains almost 50 new case annotations covering diverse issues, such as the oppression of minority shareholders, limited survival for purposes of winding up, and valuation of a disassociated member’s share of an LLC. The companion CD-ROM contains more than 70 New Jersey forms for incorporation/formation, qualification, mergers, dissolution, and name reservation for all entity types.
